These terms are written around XIO's current implementation and agency services. Specific paid engagements should also have a written scope and acceptance criteria.
1. Scope of these terms
These terms govern use of the XIO AI Solutions website, public tools, assessments, workshops, implementation services, and related deliverables. A written proposal, statement of work, order form, or other signed agreement may add to or replace parts of these terms for a specific engagement.
By using the website, submitting an application, booking a meeting, or purchasing a service, you agree to these terms.
2. Services and written scope
XIO provides practical AI team setup, workflow assessment, implementation, private AI architecture, creative production, and related advisory services. The exact scope, deliverables, schedule, fees, assumptions, acceptance criteria, and responsibilities for paid work are defined in writing.
Examples, demos, sample handoffs, and public workflow illustrations are educational examples unless expressly identified as a client deliverable.
3. Fees, payment, and refunds
Fees and payment schedules are stated in the applicable written scope or checkout page. Unless the written scope says otherwise, third-party subscriptions, advertising spend, infrastructure, hardware, model usage, licenses, travel, and taxes are separate.
For the AI Team Setup Day, XIO will refund the engagement before delivery if pre-work cannot identify three suitable tasks. Other refunds, cancellations, credits, or rescheduling rights apply only when stated in the written scope or required by law.
4. Client responsibilities and approvals
Clients must provide accurate information, timely access, appropriate internal owners, approved examples, and required decisions. Clients remain responsible for reviewing and approving outputs, claims, campaigns, messages, workflows, and production use.
Clients must not provide sensitive, regulated, confidential, or third-party data unless its use has been approved in writing and appropriate controls have been agreed.
5. AI outputs and human review
AI-generated and AI-assisted outputs can contain errors, omissions, or unsuitable recommendations. XIO does not promise complete accuracy or autonomous decision-making.
A qualified person must review consequential legal, medical, financial, employment, compliance, safety, pricing, contractual, and customer-facing outputs before use.
6. Advertising, demand, and performance
Advertising, lead generation, property intelligence, territory signals, and demand-generation results depend on factors outside XIO control. Unless a written scope explicitly says otherwise, XIO does not guarantee lead counts, booked meetings, sales, revenue, savings, or return on advertising spend.
Property, map, imagery, weather, permit, and solar signals are prioritization aids. They are not inspections, engineering reports, proof of damage, proof of purchase intent, or guaranteed financial projections.
7. Intellectual property and client materials
Each party retains ownership of materials it owned before the engagement. Clients retain ownership of their data, brand assets, and source materials. Subject to full payment and the written scope, clients receive the agreed rights to final deliverables created specifically for them.
XIO retains ownership of pre-existing methods, reusable components, templates, know-how, and general tools. XIO will not publish confidential client material or identify a client as a case study without permission.
8. Third-party services
Work may depend on third-party services such as hosting providers, AI model providers, productivity tools, payment processors, scheduling platforms, advertising platforms, or client-selected software. Their availability, pricing, terms, and behavior are outside XIO control.
9. Confidentiality and security
XIO will use reasonable care with confidential information provided for an engagement. No system or transmission method is completely secure. Local or private deployment does not automatically make a system secure or compliant.
Additional confidentiality, data-processing, security, or compliance obligations must be agreed in writing when required.
10. Warranty and limitation
Except for commitments expressly stated in a written scope, the website, public tools, examples, and services are provided without warranties of guaranteed business results, uninterrupted availability, or error-free operation.
To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, or consequential damages. Any additional liability limits for a paid engagement should be stated in its written agreement.
11. Governing law
Unless a written agreement specifies otherwise, these terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles.
12. Changes and contact
XIO may update these terms by posting a revised version and changing the last-updated date. Material changes apply prospectively unless required by law.
