Terms of Service

1. Acceptance of Terms

By accessing or using the Xio AI platform at xioai.co (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and paying subscribers.

2. Description of Service

Xio AI is an AI-powered sales automation platform that provides: lead discovery and enrichment, automated email sequences, AI text humanization and rewriting, cold email templates, campaign analytics, AI phone calling, and related tools. The Service is provided on a subscription basis with free and paid tiers.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the security of your password and accept responsibility for all activity under your account
• Notify us immediately of any unauthorized use of your account

You may register using email/password or Google OAuth. One account per person or entity. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans & Billing

4.1 Plans

We offer three tiers:

• Free ($0/month) — 50 prospect searches/month, AI email humanizer, cold email templates, SDR calculator
• Founder Pro ($49/month or $39/month billed annually) — Unlimited prospect discovery, AI-powered lead enrichment, automated email sequences, campaign analytics, A/B testing, AI phone calling
• Agency Scale ($149/month or $119/month billed annually) — Everything in Founder Pro plus unlimited client workspaces, multi-user team access, bulk lead processing API, white-label reports, priority support

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis through Stripe. Your subscription will automatically renew at the end of each billing period unless you cancel. Annual subscriptions receive a 20% discount compared to monthly billing.

4.3 Cancellation & Refunds

You may cancel your subscription at any time through the Stripe Customer Portal accessible from your dashboard settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. We do not provide prorated refunds for partial months or years, except where required by law.

4.4 Usage Limits

Each plan has defined usage limits (prospect searches, email sends, AI credits). If you exceed your plan limits, certain features may be temporarily restricted until your next billing cycle or until you upgrade to a higher tier.

5. Acceptable Use

You agree not to use the Service to:

• Send spam, unsolicited bulk email, or messages violating CAN-SPAM, GDPR, or other applicable anti-spam laws
• Harvest, scrape, or collect personal data in violation of applicable privacy laws
• Impersonate any person or entity, or misrepresent your affiliation
• Transmit malware, viruses, or other harmful code
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use the Service for any illegal purpose or in violation of any applicable law
• Resell, sublicense, or redistribute the Service without written permission
• Use AI-generated content in a way that violates third-party rights or applicable regulations

We reserve the right to investigate and take appropriate action against anyone who violates this provision, including removing content, suspending accounts, and reporting to law enforcement.

6. Email & Outreach Compliance

You are solely responsible for ensuring that your use of Xio AI's email automation features complies with all applicable laws, including CAN-SPAM Act (US), GDPR (EU), CASL (Canada), and other anti-spam regulations. This includes maintaining proper opt-out mechanisms, accurate sender information, and lawful basis for contacting recipients. Xio AI provides tools for compliance but does not guarantee legal compliance — that responsibility lies with you.

7. AI-Generated Content

The Service uses artificial intelligence to generate email copy, lead research, call transcripts, and other outputs. AI-generated content may contain errors, inaccuracies, or biases. You are responsible for reviewing all AI-generated content before use. Xio AI makes no warranties regarding the accuracy, completeness, or fitness for purpose of AI-generated outputs.

8. Intellectual Property

The Service, including its design, code, features, logos, and documentation, is owned by Xio AI and protected by intellectual property laws. You retain ownership of data you input into the Service (leads, contacts, email content, business information).

We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your active subscription. You may not copy, modify, distribute, sell, or lease any part of the Service.

9. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the data practices described in the Privacy Policy.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

11. Limitation of Liability

To the maximum extent permitted by law, Xio AI and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service. Our total liability for any claims arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements, be error-free, or that any defects will be corrected.

13. Indemnification

You agree to indemnify and hold harmless Xio AI from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: your use of the Service, your violation of these Terms, your violation of any third-party rights, or content you generate or send using the Service.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 8, 11, 12, 13, and 15 survive termination.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in San Francisco County, California.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
